Terms and Conditions Relating to the Golden State Valkyries Season Tickets for the 2026 Season

PLEASE READ THE FOLLOWING TERMS AND CONDITIONS CAREFULLY AS THEY GOVERN YOUR RIGHTS WITH REGARD TO YOUR SEASON TICKETS AND CONTAIN A BINDING ARBITRATION AND CLASS-ACTION WAIVER PROVISION IN SECTION 10 BY WHICH YOU WAIVE ANY RIGHTS TO A JURY TRIAL AND ANY RIGHTS TO PARTICIPATE IN CLASS PROCEEDINGS WITH RESPECT TO YOUR SEASON TICKETS.

By submitting payment (including by way of automatic renewal) and/or accessing, selling and/or otherwise using season tickets, you agree to comply with the Valkyries’ policies and procedures regarding season tickets, including the following terms and conditions (the “Terms”):

  1. Ticket Rights: Season tickets and all rights attendant thereto are owned by Golden State Valkyries LLC (the “Valkyries”). All rights granted to the purchaser (“you” or the “season-ticket holder”) of season tickets under this agreement constitute a revocable license to attend designated home games of the Golden State Valkyries Women’s National Basketball Association (“WNBA”) basketball team (the “Club”) to be played at Chase Center in San Francisco, California. Only the first listed name on any account, as provided by you in connection with your initial purchase of season tickets, shall be recognized as the season-ticket holder (provided that with regard to explicitly identified corporate accounts, any authorized corporate officer may act). Your receipt and use of season tickets are subject to your timely payment of all amounts due therefor.
  2. Applicable Games: Tickets purchased hereunder entitle the holder thereof to admission to specific preseason and regular season home games of the Club for the 2026 WNBA season. In the event that the number of scheduled Club regular season and/or in-season tournament (if applicable) home games is increased above twenty-two (22) during any particular WNBA season, then the fees due and payable for your season tickets shall be increased by a proportionate amount for each such additional regular season and/or in-season tournament game (any such increase, an “Applicable Increase”). If you have provided a credit card, debit card or ACH Debit as your method of payment, you hereby authorize such method of payment to be automatically charged for the Applicable Increase within thirty (30) days after Valkyries notify you of such Applicable Increase. If, directly or indirectly due to a strike, lockout or other labor dispute involving the WNBA (a “Work Stoppage”), (x) any scheduled home Club preseason or regular season game is cancelled and not rescheduled (a “Cancelled Game”) during the 2026 WNBA season and (y) the total amount you have paid the Valkyries for your 2026 season tickets exceeds the total face value of such 2026 Cancelled Game(s) in the aggregate, then your sole remedy shall be a credit (a “Credit”) equal to the face value (as set by the Valkyries) of your applicable season tickets for such Cancelled Game(s). Such Credit, if any, may be applied by you solely toward the purchase of tickets to Club home games during the 2026 WNBA playoffs and/or 2027 WNBA season and shall expire as of the end of the 2027 WNBA season without any refund or other further obligation of Valkyries to you. For the avoidance of doubt, you are not entitled to any refund in the event of any Work Stoppage. Admission to any Club playoff game(s) is not included with your purchase of season tickets. In the sole discretion of the Valkyries you may be entitled to purchase playoff tickets for the Club's home playoff games (if any) at prices and under terms (including the deadline for such purchase) established by the Valkyries. The availability of such playoff tickets, however, is subject to existing or future commitments of the WNBA, Chase Center and the Valkyries, including commitments to the press and any broadcast partners. Furthermore, the Valkyries reserve the right to offer you a different seat location with respect to any playoff tickets. If the Valkyries, in its sole discretion, offers you discounted pricing on 2026 playoff tickets (a “Playoff Discount”) in connection with renewal of your season tickets, and you timely renew (including by way of automatic renewal) your season tickets, then such Playoff Discount shall be subject to and conditioned upon your payment of all amounts due for the 2027 Season Tickets (as defined below).
  3. Renewal Opportunity: The Valkyries may, in its sole discretion, offer a season-ticket holder an opportunity to purchase season tickets to the Club's home preseason and regular season games for the 2027 WNBA season (“2027 Season Tickets”) on terms to be established by the Valkyries. However, for the avoidance of doubt, such opportunity may be withdrawn in the sole discretion of the Valkyries, for any reason or no reason, including if season-ticket holder violates any Valkyries, Club or Chase Center policy, fails to make any payments due for season tickets hereunder, fails to comply with these Terms, or otherwise defaults in the performance of any applicable duties or obligations hereunder.
  4. AUTOMATIC RENEWAL: IN THE EVENT THAT THE VALKYRIES OFFERS SEASON-TICKET HOLDER AN OPPORTUNITY TO PURCHASE 2026 PLAYOFF TICKETS AND 2027 SEASON TICKETS, THEN THE VALKYRIES SHALL PROVIDE TO SEASON-TICKET HOLDER AN INVOICE FOR THE PURCHASE OF 2026 PLAYOFF TICKETS AND 2027 SEASON TICKETS, WHICH INVOICE SHALL SET FORTH THE AMOUNT TO BE CHARGED FOR SUCH TICKETS. IF YOU HAVE PROVIDED A CREDIT CARD, DEBIT CARD OR ACH DEBIT AS YOUR METHOD OF PAYMENT IN CONNECTION WITH YOUR PURCHASE OF VALKYRIES SEASON TICKETS, THEN UNLESS YOU NOTIFY THE VALKYRIES OF YOUR INTENT TO NOT PURCHASE 2026 PLAYOFF AND 2027 SEASON TICKETS BY OPTING OUT ONLINE, CALLING 833-VALKS13, OR EMAILING YOUR ACCOUNT REPRESENTATIVE WITHIN THIRTY (30) DAYS OF RECEIVING AN INVOICE THEREFOR, SEASON-TICKET HOLDER’S PAYMENT WILL AUTOMATICALLY BE PROCESSED FOR THE PURCHASE OF 2026 PLAYOFF AND 2027 SEASON TICKETS IN THE AMOUNT SET FORTH IN SUCH INVOICE. TO CANCEL, SEASON-TICKET HOLDER MUST OPT OUT ONLINE, CALL 833-VALKS13 OR EMAIL YOUR ACCOUNT REPRESENTATIVE WITHIN THIRTY (30) DAYS OF RECEIVING AN INVOICE FOR 2026 PLAYOFF AND 2027 SEASON TICKETS.
  5. Non-Transferability: Season-ticket accounts and all rights attendant thereto are non-transferable. All season tickets will be delivered to a single Valkyries Ticketmaster Account Manager account or such other method as determined by Valkyries in its sole discretion. Request for a change of address must be in writing and signed by the season-ticket holder. Sale or resale (or attempted sale or resale) of any tickets by unauthorized means is prohibited, and violation of this policy may result in cancellation of season tickets without refund or other compensation. Authorized resale of your tickets via online means is limited to such platforms as expressly authorized by the Valkyries or the WNBA, and subject to the terms and conditions thereon.
  6. Payments: The right to purchase and receive tickets may be revoked by the Valkyries for failure to make payment(s) as and when due, and no amount paid by you (or on your behalf) shall be refunded by the Valkyries. In addition, the Valkyries reserve all equitable and legal remedies, including collection of any unpaid amount(s). ALL TICKET SALES ARE FINAL. NO REFUNDS OR EXCHANGES EXCEPT AS PROVIDED HEREIN. THE SOLE AND EXCLUSIVE REMEDY (IF ANY) IF ADMISSION IS REFUSED OR REVOKED, OR IF ANY GAME IS CANCELLED AND NOT REPLAYED, OR PLAYED UNDER CONDITIONS THAT PROHIBIT YOU FROM ATTENDING, IS A REFUND OF UP TO THE APPLICABLE TICKET’S FACE VALUE SET BY THE VALKYRIES (THE “FACE VALUE”). IN NO EVENT SHALL THE VALKYRIES, WNBA OR CHASE CENTER BE LIABLE FOR ANY DAMAGES BEYOND THE FACE VALUE OF YOUR TICKET.
  7. WNBA policy: The WNBA, Valkyries and Chase Center seek to foster a safe, comfortable and enjoyable sports and entertainment experience in which: (a) players and fans respect and appreciate each other; (b) guests will be treated in a professional and courteous manner by all arena and team personnel; (c) guests will enjoy the basketball experience free from disruptive behavior, including foul or abusive language and obscene gestures; (d) guests will consume alcoholic beverages in a responsible manner. Intervention with an impaired, intoxicated or underage guest will be handled in a prompt and safe manner; (e) guests will sit only in their ticketed seats and show their tickets when requested; (f) any guest who engages in fighting, throwing objects or attempting to enter the court will be immediately ejected from Chase Center; (g) in accordance with applicable law, smoking is not permitted in Chase Center; (h) obscene or indecent messages on signs or clothing will not be permitted; and (i) guests will comply with requests from Chase Center staff regarding arena operations and emergency response procedures. The Chase Center staff has been trained to intervene where necessary to help ensure that the above expectations are met, and guests are encouraged to report any inappropriate behavior to the nearest usher, security guard, or guest services staff member. Examples of inappropriate behavior include, but are not limited to: verbally instigating any player, coach, referee, fan, or any other person involved in the game; making any physical contact or attempting to make such contact with any player, coach, referee, fan or any other person involved in the game; using any obscene gestures; unreasonably interrupting the game; any oral, verbal or written abuse or other inappropriate conduct toward any Chase Center or Valkyries staff (whether or not in connection with a game); and a general display of inappropriate or abusive behavior. Guests who choose not to adhere to these provisions, or any other policy of the Valkyries, WNBA or Chase Center, may be subject to penalty including, but not limited to, ejection without refund, revocation of season tickets, and/or cancellation of the season-ticket holder’s account, and may also be in violation of local ordinances resulting in possible arrest and prosecution. You agree to be responsible for the conduct of all guests using tickets provided under this agreement.
  8. RELEASE; WAIVER OF LIABILITY FOR PERSONAL INJURY: THE HOLDER OF ANY TICKET ISSUED BY THE VALKYRIES VOLUNTARILY ASSUMES ALL RISKS AND DANGER OF LOSS OR DAMAGE TO PROPERTY, PERSONAL INJURY (INCLUDING DEATH) AND ALL OTHER HAZARDS ARISING FROM OR RELATED IN ANY WAY TO THE EVENT FOR WHICH THE TICKET IS ISSUED, HOWEVER SO CAUSED AND WHETHER BY NEGLIGENCE OR OTHERWISE, WHETHER OCCURRING PRIOR TO, DURING OR AFTER THE EVENT. You, on behalf of yourself and your Related Persons, expressly waive any and all rights that you or any of your Related Persons may have under California Civil Code Section 1542 (or any other statute or rule of similar import, intent, or effect) which states:
    A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.
    You voluntarily assume all risk and danger of personal injury (including death), sickness (including illness and other risks of exposure to COVID-19, or any other communicable disease or illness, or a bacteria, virus or other pathogen capable of causing a communicable disease or illness), lost, stolen, damaged or confiscated property, and all other hazards arising from, or related in any way to, Club games, whether occurring prior to, during, or after a Club game, however caused and whether by negligence or otherwise. You, on behalf of yourself and your Related Persons (defined below), further hereby release (and covenant not to sue) each of the Released Parties (defined below) with respect to any and all claims that you or any of your Related Persons may have (or hereafter accrue) against any of the Released Parties and that relate in any way to (i) exposure to COVID-19; (ii) entry into, or presence within or around, Chase Center or any Club game (including all risks related thereto) or compliance with any protocols or Safety Requirements applicable to Club games; or (iii) any interaction between you and your Related Persons, on the one hand, and any personnel of any of the Released Parties present at a Club game, on the other hand, in each case whether caused by any action, inaction or negligence of any Released Party or otherwise. “Related Persons” means your heirs, assigns, executors, administrators, next of kin, anyone attending the game with you (which persons you represent have authorized you to act on their behalf for purposes of these Terms) and other persons acting or purporting to act on your or their behalf. “Released Parties” means: (i) the WNBA and its member teams (including the Valkyries), and each of their respective direct and indirect owners, affiliates, players and coaches, administrators, designees, licensees, and other personnel; (ii) the direct and indirect owners, lessees and sublessees of Chase Center; (iii) all third parties performing services at Chase Center; (iv) any parents, subsidiaries, affiliated and related companies of each of the entities described in clauses (i)-(iii); and (v) the officers, directors, owners, members, managers, partners, employers, employees, agents, contractors and sub-contractors (and employees of such contractors and sub-contractors), insurers, representatives, other personnel, successors and/or assigns of each of the foregoing entities and persons described in clauses (i)-(v), whether past, present or future and whether in their institutional or personal capacities. “Safety Requirements” means such safety and health requirements and policies put in place by the WNBA, Valkyries, Chase Center and any and all applicable governmental entities and as may be communicated to you prior to or during each game (whether orally or in writing) by, for example, instruction provided by Valkyries or Chase Center personnel or signage in or around Chase Center.
  9. Your Representations and Warranties: You acknowledge, agree, represent and warrant that: (a) all information provided by you in connection with your season tickets is true and correct in all respects and you have not engaged in any deceptive or misleading practices in connection with your purchase of season tickets. Without limiting the foregoing, all information provided by you to the Valkyries (including, without limitation, the name, phone number(s), e-mail address and mailing address, if applicable) represent your accurate and legitimate information; (b) you understand that the contents of any visual presentations, marketing materials, brochures, or other oral or written communications made by the Valkyries or their affiliates about your season tickets are for illustrative purposes only, and shall in no way constitute a representation, warranty, covenant or promise relating to your season tickets; and (c) if the seats associated with your season tickets are designated by the Valkyries as accessible seating for individuals with disabilities and their companions, you have, or the person for whom you have purchased tickets has, a disability that requires use of the accessible features that are provided in the seating locations being purchased.
  10. Arbitration; Class Action Waiver; Opt-Out: Should any controversy, dispute or claim (a “Dispute”) arise out of or relating to your season tickets or the use thereof, the issue shall be decided by arbitration. The arbitration proceeding shall be seated in and conducted under the applicable rules of arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures in San Francisco, California unless the parties expressly agree otherwise in writing. The decision of the arbitrator shall be final and binding on all parties. Except as may be required by law, neither a party nor its representatives may disclose the existence, content, or results of any negotiation or arbitration hereunder without the prior written consent of both parties. By agreeing to these Terms, you are waiving your ability to have any Dispute decided by a court or jury or to participate in class action litigation and class-wide arbitration as a class representative, a class member, or in any other capacity. Unless you opt out of arbitration as outlined below, all Disputes shall be resolved by binding arbitration on an individual basis with you only. THEREFORE, THE ARBITRATOR SHALL NOT CONDUCT CLASS ARBITRATION. THE ARBITRATOR SHALL NOT ALLOW YOU OR THE VALKYRIES TO SERVE (1) AS A REPRESENTATIVE, (2) AS A PRIVATE ATTORNEY GENERAL, OR (3) IN ANY OTHER REPRESENTATIVE CAPACITY FOR OTHERS IN ANY ARBITRATION. THE ARBITRATOR HAS NO AUTHORITY TO ORDER OR CONDUCT CLASS ARBITRATION. You may opt out of the arbitration agreement set forth in this Section 10 by notifying the Valkyries in writing no later than thirty (30) days after the date that you first agree to these arbitration terms, via one of the following methods: (A) by mailing a notice to Golden State Valkyries, 1 Warriors Way, San Francisco, CA 94158, Attn: Business & Legal Affairs or (B) by emailing warriorslegal@warriors.com. Your notice must include the name, email address and account number associated with your Valkyries season ticket account, and a statement that you wish to opt out of this arbitration agreement.
  11. LIMITATION OF LIABILITY: THE LIABILITY OF THE VALKYRIES AND ITS AFFILIATES FOR DAMAGES OF ANY KIND ARISING OUT OF THE PURCHASE, POSSESSION OR USE OF A SEASON TICKET, INCLUDING BREACH OF CONTRACT, IS LIMITED TO A REFUND OF THE PURCHASE PRICE OF THE SEASON-TICKET HOLDER'S UNUSED TICKETS. THIS REMEDY IS EXCLUSIVE. IN NO EVENT SHALL CHASE CENTER, THE VALKYRIES OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL OR CONSEQUENTIAL DAMAGES.
  12. Image Rights: The season-ticket holder grants permission to the WNBA, Chase Center and the Valkyries (and their respective designees and agents, including, without limitation, any sponsors thereof) to utilize the season-ticket holder’s image, likeness, actions and statements in any live or recorded audio, video, film, or photographic display or other transmission, exhibition, publication or reproduction made of, or at, a Club game in any medium, whether now known or hereinafter created, or context for any purpose, including commercial or promotional purposes, without further authorization or compensation. In addition, the season-ticket holder grants to the WNBA, Chase Center and the Valkyries permission to collect, use, share and store certain season-ticket holder facial and other biometric information as permitted by law, including for security purposes.
  13. Security Policies and Procedures: The season-ticket holder and the season-ticket holder’s belongings may be searched upon entry to Chase Center and/or other security checkpoints, prohibited items (which may include, without limitation, bags) may be confiscated at the sole discretion of the WNBA, Valkyries and/or Chase Center, and the season-ticket holder hereby consents to the foregoing and waives any related claims that might arise against the WNBA, Chase Center and/or the Valkyries. If the season-ticket holder elects not to consent to such searches, the season-ticket holder will be denied entry into Chase Center without refund.The Valkyries and the WNBA reserve the right to modify from time to time any of its respective policies and procedures, including, but not limited to, those relating to the licensing of season tickets.
  14. Severability. If any part of these Terms is held invalid or unenforceable by any court or arbitrator of competent jurisdiction, such provision shall be deemed severed from these Terms to the extent of such invalidity or unenforceability, and the remainder of these Terms shall remain in full force and effect and shall in no way be affected, impaired or invalidated.
  15. Additional Terms. Without limiting any of these Terms, all tickets for Club games are further subject to the terms and conditions located at https://valkyries.com/tickets/terms.
